By-Laws

These Bylaws are made and adopted for the regulation of the affairs and the performance of the functions of the Alamo Regional Mobility Authority (the “Authority”), a regional mobility authority authorized and existing pursuant to the provisions of House Bill 3588, enacted by the 78th Legislature of Texas, and codified in Texas Transportation Code, Chapter 370, as the same may be amended from time to time.

Environmental Review

These procedures are adopted pursuant to Transportation Code §370.188 and are applicable only to transportation projects that are not otherwise subject to review under (1) the National Environmental Policy Act (NEPA) (42 U.S.C. Section 4321, et seq.); or (2) environmental review and approval conducted by the Texas Department of Transportation (“TxDOT”) or the Texas Transportation Commission (the “Commission”).

Governance Guidelines

The Board of Directors (the Board) believes strong corporate governance is required for the continuing success of the Alamo Regional Mobility Authority. Initial success has been the direct result of the Authority’s planning, high business standards and dedicated leadership. To accomplish its strategic goals, during the initial year the Authority developed a program of corporate governance. The practices of this program are memorialized and enhanced in these guidelines. These guidelines assure the Board will have the necessary authority and practices in place to review and evaluate the Authority’s progress and the effectiveness of the Board.

Alamo RMA Toll Policies

These Policies and Procedures for Toll Collection Operations (“Policies and Procedures”) are established pursuant to ALAMO RMA Resolution No. 07-20, adopted on October 10, 2007. and Alamo RMA Resolution 12-08, adopted on April 12, 2012. Under provisions of Chapter 370 of the Texas Transportation Code, ALAMO RMA possesses the authority to designate a turnpike project or a portion of a turnpike project as a controlledaccess toll road (Sec. 370.179). These Policies and Procedures establish ALAMO RMA practices and operations for toll collection systems on designated controlled-access toll roads operating within the Alamo RMA turnpike system, and incorporate provisions of Texas Transportation Code Sec. 370.177 regarding failure or refusal to pay turnpike project tolls and related penalties and offenses.
